| Nemetschek plans acquisition of majority stake in Graphisoft | | |

| Munich, December 21, 2006 – Nemetschek AG has reached an agreement with the shareholders of the Hungarian company Graphisoft SE, allowing Nemetschek to acquire a majority stake in Graphisoft (call option) on a acquisition price of 9 EUR per share. Nemetschek is aiming for a strategic financial interest in the Hungarian competitor Graphisoft, announced Gerhard Weiß, CEO of Nemetschek AG. Subject to a successfull completion of the customary due diligence review and the financing agreements, Nemetschek plans to exercise its call option for the majority stake in Graphisoft shortly.
